Terms of Service

1. Acceptance of Terms

• By accessing or using VitalSchools, you agree to be bound by these Terms of Service
• If you disagree with any part of these terms, you may not access the platform
• We reserve the right to update these terms at any time with notice to users

2. User Accounts

• You must provide accurate and complete information when creating an account
• You are responsible for maintaining the confidentiality of your account credentials
• You must be at least 13 years old to create an account (guardian consent required for minors)
• One person or entity may not maintain multiple accounts for the same role
• We reserve the right to suspend or terminate accounts that violate these terms

3. User Responsibilities

• Provide truthful and accurate information in all applications and documents
• Do not share your account credentials with others
• Do not attempt to access another user's account or data
• Do not use the platform for any illegal or unauthorized purpose
• Do not upload viruses, malware, or any malicious code
• Do not attempt to interfere with the proper functioning of the platform

4. Student Applications

• Students are responsible for the accuracy of all information submitted
• Application deadlines are set by individual schools and must be respected
• Submitting false information may result in application rejection and account termination
• Application fees are non-refundable unless otherwise stated by the school
• Students may apply to a maximum number of schools as set by authorities

5. School Responsibilities

• Schools must provide accurate information about programs, fees, and requirements
• Schools must respond to applications within reasonable timeframes
• Schools must honor offers made through the platform
• Schools are responsible for their own admission criteria and decisions
• Schools must comply with all relevant education regulations

6. Agent Services

• Agents must be certified and authorized to process applications
• Agents must act in the best interest of students
• Agents may not charge students additional fees beyond platform commissions
• Agents must maintain confidentiality of student information
• Commission payments are subject to successful application completion

7. Payment Terms

• All payments are processed through secure, third-party payment providers
• Application fees are paid directly to schools through the platform
• Platform subscription fees for schools are billed monthly or annually
• Refunds are subject to individual school policies
• VitalWorks is not responsible for disputes between students and schools regarding fees

8. Intellectual Property

• All platform content, design, and code are owned by VitalWorks Limited
• Users grant us a license to use content they upload for platform operations
• You may not copy, modify, or distribute our platform code or design
• School logos and branding remain the property of respective institutions
• Student documents remain the property of students

9. Data and Privacy

• Your use of VitalSchools is also governed by our Privacy Policy
• We collect and process data as described in our Privacy Policy
• You consent to data sharing as outlined in the Privacy Policy
• You have rights to access, modify, and delete your personal data

10. Limitation of Liability

• VitalSchools is provided "as is" without warranties of any kind
• We are not liable for admission decisions made by schools
• We are not responsible for errors in information provided by schools
• We are not liable for any damages arising from platform use or inability to use
• Our total liability is limited to fees paid in the past 12 months

11. Indemnification

• You agree to indemnify VitalWorks from claims arising from your use of the platform
• You agree to indemnify us from claims arising from your violation of these terms
• You agree to indemnify us from claims arising from content you submit

12. Service Availability

• We strive for 99.9% uptime but cannot guarantee uninterrupted service
• We may suspend service for maintenance with advance notice when possible
• We are not liable for service interruptions beyond our reasonable control

13. Termination

• You may terminate your account at any time through account settings
• We may terminate or suspend accounts that violate these terms
• Upon termination, your right to use the platform ceases immediately
• Data retention after termination is governed by our Privacy Policy

14. Dispute Resolution

• Any disputes shall be resolved through good faith negotiation first
• Unresolved disputes shall be subject to arbitration in Uganda
• These terms are governed by the laws of Uganda
• Courts of Uganda shall have exclusive jurisdiction

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and VitalWorks Limited regarding the use of VitalSchools and supersede all prior agreements and understandings.
